Andrew Thorpe is a partner at Gunderson Dettmer. He advises management teams and boards of directors on securities regulation, public offerings, mergers and acquisitions, and corporate governance matters. According to the firm, he has represented issuers and underwriters in more than 40 initial public offerings to date.
Before private practice, Thorpe served for six years at the U.S. Securities and Exchange Commission. While at the SEC's Division of Corporation Finance and in the Office of Rulemaking, he reviewed and commented on public companies' SEC filings and, according to the firm, played a significant role in drafting several regulations under the Sarbanes-Oxley Act. He works with companies in industries including software, fintech, life sciences, medical devices, clean technology, and cryptocurrency, helping them navigate complex and often novel transactional issues. His focus areas include mergers and acquisitions, public companies and public offerings, and IPOs and direct listings.
Thorpe earned his J.D. from Washington University, an M.B.A. from the Thunderbird School of Global Management, and a B.A. from Emory University. He is admitted to practice in California and Illinois.
